Welcome to The Vice World. These Terms of Service (“Terms”) govern your access to and use of theviceworld.com and our B2B wholesale platform (collectively, the “Service”) operated by The Vice World Corp. (“we,” “us,” or “our”).

By registering for an account, placing an order, or otherwise using our Service, you agree to be bound by these Terms. If you do not agree, you may not use our Service.

1. B2B Wholesale Eligibility

The Vice World is a business-to-business (B2B) wholesale platform. Our Service is intended exclusively for legitimate businesses purchasing products for resale or commercial use. To register, you must:

  • Be a legally registered business entity (LLC, corporation, sole proprietorship, or similar)
  • Be at least 18 years old and authorized to act on behalf of the business
  • Provide accurate, complete, and current business information
  • Submit a valid resale certificate, business license, or other documentation verifying your B2B status, when requested
  • Use purchased products for resale or legitimate business purposes (not personal consumption)

We reserve the right to approve, deny, suspend, or terminate any account at our sole discretion. Submitting false or misleading information is grounds for immediate termination.

2. Account Registration & Approval

All accounts are subject to manual review and approval. Registration does not guarantee account activation. Once your account is approved, you will receive an email confirmation and can access our wholesale pricing.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Keeping your business and contact information up to date

3. Pricing, Tiers, and Availability

Our wholesale pricing is based on tiered levels (Standard, Preferred, VIP), with discounts applied based on your account tier and order volume. Pricing tiers are determined at our discretion and may be adjusted based on purchase history, order volume, and business relationship.

Prices are displayed in U.S. Dollars and exclude applicable taxes and shipping fees. All prices are subject to change without notice. Pricing errors may occur; we reserve the right to cancel orders with incorrect pricing.

Product availability is not guaranteed. Items may be out of stock, discontinued, or reserved. We will notify you promptly if we cannot fulfill your order as placed.

4. Orders, Payment, and Taxes

Order Acceptance

Your order constitutes an offer to purchase. We accept your offer once we process your payment and send an order confirmation. We reserve the right to refuse or cancel any order for any reason, including suspected fraud, pricing errors, inventory issues, or account standing.

Payment

We accept payment through our approved payment processors (Stripe via WooPayments, PayPal, and other methods we may offer). By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge your payment method for the order amount plus any applicable taxes and fees.

Taxes

You are responsible for all applicable sales, use, excise, or similar taxes. If you submit a valid resale certificate, we will not collect sales tax; you are responsible for remitting any required taxes to the appropriate authorities. If your resale certificate is invalid, expired, or rejected, you remain liable for any taxes that should have been collected.

5. Shipping, Delivery, and Risk of Loss

Shipping terms, costs, and estimated delivery times are as specified at checkout. Local pickup is available by appointment at our New York location at no charge.

Title and risk of loss for products pass to you upon delivery to the carrier. We are not responsible for carrier delays, damage in transit (beyond what carrier insurance covers), or delivery errors caused by incorrect shipping information you provided.

You should inspect your order promptly upon receipt and report any shipping errors, damage, or defects within 5 business days.

6. Returns and Refunds

All returns, refunds, and exchanges are governed by our separate Refund and Returns Policy, which is incorporated into these Terms by reference. Please review that policy before placing an order.

7. Acceptable Use

When using our Service, you agree NOT to:

  • Use the Service for any illegal purpose or in violation of any law
  • Resell products in ways that violate manufacturer MAP (Minimum Advertised Price) policies or brand guidelines
  • Misrepresent your business status or the intended use of purchased products
  • Attempt to access accounts, systems, or data you are not authorized to access
  • Interfere with, disrupt, or attempt to compromise the security of the Service
  • Use automated tools (bots, scrapers) to access or extract data from the Service without permission
  • Copy, reproduce, modify, or create derivative works of our content without authorization (see Section 8)
  • Impersonate another business, person, or entity
  • Engage in fraudulent transactions or chargebacks without legitimate cause
  • Submit counterfeit documentation (fake resale certificates, forged licenses, etc.)

Violation of these rules may result in account suspension, termination, and/or legal action.

8. Intellectual Property

Our Content

All content on our Service — including product descriptions, original photographs, logos, trademarks, graphics, text, and compilations — is owned by The Vice World Corp. or our licensors and is protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, sell, or display our content without our prior written permission, except as permitted for legitimate resale of products you purchase.

Product Images and Descriptions

Approved wholesale customers may use product images and descriptions we provide to market and resell the products to their own customers, subject to manufacturer guidelines and our reasonable use expectations.

Your Content

Any content you submit (account information, communications, feedback, resale certificates) remains your property. By submitting it, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process it as necessary to provide the Service and comply with legal obligations.

Trademarks

“The Vice World” and our logo are trademarks of The Vice World Corp. Other trademarks displayed on the Service are the property of their respective owners.

9. Third-Party Products and Services

Our Service integrates with third-party providers (payment processors, email services, shipping carriers). Your use of those services is governed by their respective terms. We are not responsible for third-party services or their availability.

10. Disclaimers

THE SERVICE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. We do not warrant that products will meet your specific business needs or generate any particular level of resale profit.

Manufacturer warranties (if any) on specific products are passed through to you to the extent permitted. We make no independent warranty regarding product performance beyond the manufacturer’s terms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE VICE WORLD CORP., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY PRODUCTS PURCHASED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCTS OR TRANSACTIONS GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless The Vice World Corp. and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your resale, marketing, or use of products purchased from us
  • Misuse of your account or unauthorized account access caused by your negligence

13. Account Suspension and Termination

We may suspend or terminate your account, with or without notice, if we believe you have:

  • Violated these Terms or any applicable law
  • Engaged in fraudulent or abusive behavior
  • Submitted false or misleading information
  • Posed a security, legal, or reputational risk to our Service

You may close your account at any time by contacting us. Termination does not relieve you of obligations for outstanding orders or payments.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a new “Effective Date” at the top. Material changes will be communicated via email or a notice on our website. Your continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York, New York. You and The Vice World Corp. consent to the personal jurisdiction of those courts.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and Refund and Returns Policy, constitute the entire agreement between you and us regarding the Service, superseding any prior agreements.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, supplier issues, carrier delays, or government actions.
